Terms of Service

1. Acceptance of Terms

By accessing or using the PayoutPilot web application and related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and PayoutPilot ("we," "our," or "us").

2. Description of Service

PayoutPilot provides two core services:

• Payout Reconciliation — Automatically breaks down Stripe payouts into individual charges, refunds, fees, and sales tax, then creates matching deposits in QuickBooks Online.
• Sales Tax Reporting — Aggregates transaction data from Stripe and Square, categorizes sales as taxable or exempt, and computes the total state sales tax collected for a given period.

The Service is a bookkeeping automation tool. It is not a substitute for professional accounting, tax, or legal advice.

3. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By registering, you represent that you have the authority to bind yourself (or the organization you represent) to these Terms.

4. Third-Party Integrations

The Service connects to third-party platforms including Stripe, Square, QuickBooks Online, and Brevo. By using these integrations, you acknowledge that:

• You have the authority to connect these accounts and grant PayoutPilot the necessary API access
• Your use of those platforms is governed by their respective terms of service and privacy policies
• We are not responsible for changes, outages, or errors in third-party services
• API keys and OAuth tokens you provide are stored encrypted and used solely to operate the Service on your behalf

5. Permitted Use

You agree to use the Service only for its intended purpose: reconciling payment processor payouts with accounting software and computing sales tax summaries. You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service's infrastructure
• Use the Service to process data you do not have authorization to access
• Resell or redistribute the Service without our written consent

6. Data Accuracy and Responsibility

PayoutPilot automates the transfer of financial data between platforms. While we strive for accuracy, you acknowledge that:

• You are responsible for verifying all data posted to QuickBooks Online and all sales tax calculations before relying on them for tax filing or financial reporting
• Mapping configurations (Stripe product → QBO account) are set by you and directly affect how transactions are categorized
• Sales tax calculations use the tax rate you configure and the tax data provided by Stripe and Square — PayoutPilot does not independently determine taxability
• We are not liable for errors resulting from incorrect mappings, misconfigured tax rates, or inaccurate data from third-party sources

7. Service Availability

We aim to provide reliable, uninterrupted service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unscheduled outages in our infrastructure or third-party services
• Force majeure events beyond our reasonable control

We are not liable for any damages arising from service interruptions.

8. Pricing and Payment

PayoutPilot offers a free tier and paid plans as described on our pricing page. We reserve the right to change pricing at any time with 30 days' notice to active subscribers. Free tier features and limits may be adjusted at our discretion.

Paid subscriptions are billed monthly. You may cancel at any time, and your access will continue through the end of the current billing period.

9. Account Deletion

You may delete your account at any time from the Settings screen. Upon deletion:

• All data associated with your account (organizations, payout records, transaction history, mappings, API credentials, and settings) is permanently and irreversibly deleted
• Stripe webhooks created by PayoutPilot are removed from your Stripe account
• Data already posted to QuickBooks or other third-party platforms is not affected — you must manage that data directly in those systems

We may also suspend or terminate your account if you violate these Terms, with or without notice.

10. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by PayoutPilot and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

Your data remains your property. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
• Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater

12. Indemnification

You agree to indemnify and hold harmless PayoutPilot, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Incorrect tax filings or financial reports based on data from the Service

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state where PayoutPilot's principal office is located.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered address or through a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayoutPilot regarding the use of the Service and supersede all prior agreements.
